By creating an account or using Codeely, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and that you have the authority to enter into these Terms. If you are using Codeely on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Codeely is a SaaS project management platform designed for agile teams. We offer the following subscription tiers:

• Starter — Free, $0/month
• Pro — $6 per user per month (billed monthly or annually)
• Enterprise — Custom pricing, contact us for details

Features and limits vary by plan. We reserve the right to modify plan features and pricing with reasonable notice.

3. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and up-to-date account information
• Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Billing

Paid subscriptions are billed in advance on a monthly or annual basis through Stripe, our payment processor. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis.

• Subscriptions automatically renew unless canceled before the end of the current billing period
• You may upgrade, downgrade, or cancel your subscription at any time from your account settings
• Downgrades take effect at the end of the current billing period
• Refunds are handled according to our Refund Policy

5. Acceptable Use

You agree not to use Codeely to:

• Violate any applicable law or regulation
• Infringe on the intellectual property rights of others
• Transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Engage in activities that disrupt or interfere with the service
• Use automated means to scrape, crawl, or extract data from the platform
• Resell or redistribute access to the service without our written consent

6. Your Content

You retain ownership of all content you create, upload, or store on Codeely (including projects, stories, comments, and attachments). By using the service, you grant us a limited license to host, store, and display your content solely to operate and provide the service. We will not use your content for any other purpose.

7. Intellectual Property

Codeely and its original content, features, and functionality are owned by Codeely, LLC and are protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

8. Limitation of Liability

To the maximum extent permitted by law, Codeely, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill, arising from your use of the service. Our total liability for any claim arising from these Terms or the service shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Disclaimer of Warranties

Codeely is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure.

10. Termination

We may terminate or suspend your account and access to the service immediately, without prior notice, if you breach these Terms. Upon termination:

• Your right to use the service will cease immediately
• We may delete your account and data after a reasonable retention period (30 days)
• You may request an export of your data before account deletion

You may terminate your account at any time by contacting us or through your account settings.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or the service shall be resolved through binding arbitration or in the courts of competent jurisdiction.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of Codeely after changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the service.
